Logix9 retains ownership of its proprietary methodologies, frameworks, tools, libraries, templates, AI models, internal processes, and pre-existing intellectual property.

Clients retain ownership of materials supplied by them.

Ownership of custom-developed deliverables shall be transferred according to the terms defined within the applicable service agreement.

Nothing within these Terms grants any party ownership of the other party’s intellectual property.

Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged during the course of engagement.

Confidential information includes but is not limited to:

  • Business strategies
  • Source code
  • Technical documentation
  • Financial information
  • Customer information
  • Product roadmaps
  • Trade secrets

Neither party shall disclose confidential information without prior written consent except where required by law.

Client Responsibilities

Clients agree to:

  • Provide accurate project requirements.
  • Supply requested information promptly.
  • Review deliverables within agreed timelines.
  • Obtain all necessary rights and permissions for provided content.
  • Designate authorized representatives for communication and approvals.
  • Project delays resulting from client-side dependencies may impact delivery schedules.

Payment Terms

Unless otherwise agreed in writing:

  • Invoices are payable according to the agreed payment schedule.
  • Late payments may incur service suspension.
  • Logix9 reserves the right to withhold deliverables until outstanding balances are settled.

Taxes, duties, government fees, or regulatory charges remain the responsibility of the client unless otherwise specified.

All payments are non-refundable except where expressly stated in a written agreement.

Third-Party Services

Projects may involve integration with third-party platforms, APIs, hosting providers, cloud infrastructure, software vendors, payment gateways, or external tools.

Logix9 shall not be liable for:

  • Third-party outages.
  • Service interruptions.
  • API changes.
  • Vendor policy changes.
  • Security incidents originating from third-party systems.
  • Use of such services remains subject to the respective provider’s terms and policies.

10. Project Timelines

Estimated delivery dates are based upon information available at project initiation.

Project schedules may be adjusted due to:

  • Scope changes.
  • Client-requested revisions.
  • Delayed approvals.
  • Third-party dependencies.
  • Force majeure events.

Logix9 will make commercially reasonable efforts to meet agreed timelines.

Change Requests

Any modification to agreed project scope may require:

  • Additional cost estimation.
  • Timeline revisions.
  • Resource allocation adjustments.

All material scope changes must be approved through documented change request procedures.

Warranties and Disclaimers

Logix9 provides Services using commercially reasonable skill, expertise, and professional standards.

Except where explicitly stated:

Services are provided “as is” and “as available.”

No guarantee is made regarding uninterrupted operation.

No guarantee is made regarding specific business outcomes, revenue increases, investment returns, or market success.

Software may require future updates, maintenance, and enhancements.

To the fullest extent permitted by law, all implied warranties are disclaimed.

Limitation of Liability

To the maximum extent permitted by applicable law:

Logix9 shall not be liable for:

  • Indirect damages.
  • Incidental damages.
  • Consequential damages.
  • Loss of profits.
  • Loss of business opportunities.
  • Data loss.
  • Reputation damage.

Total liability arising from any claim shall not exceed the total fees paid to Logix9 for the specific services giving rise to the claim during the preceding twelve (12) months.

Indemnification

Clients agree to defend, indemnify, and hold harmless Logix9, its employees, contractors, affiliates, and representatives from any claims, liabilities, damages, costs, or expenses arising from:

Client-provided content.

Intellectual property infringement by client materials.

Misuse of deliverables.

Violations of applicable laws or regulations.

Security

Logix9 follows industry-standard security practices designed to protect project data and systems. However, no technology environment can be guaranteed as completely secure.

Clients remain responsible for:

  • Internal access controls.
  • User credentials.
  • Security policies.
  • Regulatory compliance obligations applicable to their organization.

Privacy

Use of our website and services is also governed by our Privacy Policy.

By using our Services, you consent to the collection and processing of information in accordance with our Privacy Policy.

Termination

Either party may terminate an engagement according to the termination provisions outlined in the applicable agreement.

Upon termination:

  • Outstanding fees become immediately payable.

Any disputes arising from these Terms shall first be addressed through good-faith negotiations before pursuing formal legal remedies.
